Maybe they've only just realised they were offloading the most profitable part of GM. Also under the Magna bid the Germans were putting in loadsamoney to protect German jobs at the expense of British ones. GM obviously trying to ramp the price up again or persuading the American Government to back a revised plan to keep Opel/VX. Also there was also some mention of fears over the Russians who are bankrolling the Magna bid, gaining full intellectual rights with a view to moving production away from West European plants to Russia and elsewhere.

    Here

Often in sales like this is not the current physical assets that is where the real money is but the Intellectual Property. If full IP transfer was being required by the bidders as part of the deal (& why not?) then that means all engine & mechanical designs & patents, current & future car designs, patents for new & improved manufacturing processes etc would go with it, leaving GM in the US with nothing that it could potentially transfer back over from Europe to the US in the future.

Since AFAIAA, most, if not all, of the small/medium cars designs and engines exist with GM Europe, then losing all that would leave them with nothing other than outdated oversized big car/engine models & designs that fewer & fewer, even in the US want these days.

They probably thought that they would get away with dumping a few old factories/production lines to the new owners together with a license to make the current car designs for a while but anything new would have to come from the new owners & they (GM US) would retain all the worthwhile IP.

Don't know whether it's good or bad, time will tell.
